Associates Program Operating Agreement

Welcome to the associate platform operated by 5MinuteQuote (the “Associates Site”), which enables you to manage your participation in the affiliate marketing program offered by the applicable 5MinuteQuote entities identified in Schedule 1 (“5MinuteQuote,” “we,” “us,” or “our”).
By registering for, accessing, or using the Associates Site, any individual or entity (“Associate,” “you,” or “your”) agrees to be bound by this Associates Program Operating Agreement (the “Agreement”), including all referenced policies (collectively, the “Program Policies”). These include, but are not limited to, participation requirements, intellectual property licenses, commission structures, and trademark usage guidelines, all of which are incorporated by reference. Any content you publish on a 5MinuteQuote platform must also comply with applicable community standards, including prohibitions against incentivized or manipulated customer reviews.
Please review all terms carefully before participating.
1. Program Overview
The Associates Program allows you to earn income by promoting products or services through your website, application, social media content, or other digital platform (your “Site”).
Participation may include:
- Displaying properly formatted tracking links directing users to a 5MinuteQuote site listed in Schedule 1 (each, a “5MinuteQuote Site”), or
- Integrating your Associate ID within supported technologies such as voice-enabled services where applicable
All links must follow the required tracking format (“Special Links”) and comply with this Agreement.
When users interact with your Special Links and complete qualifying actions (such as purchases), you may earn commissions in accordance with the applicable Commission Income Statement schedule, subject to its terms and limitations.
To support your promotional efforts, we may provide access to content and tools, including text, images, APIs, widgets, and other marketing materials (“Program Content”). Program Content does not include materials from non-5MinuteQuote platforms.
2. Compliance Obligations
Your eligibility to participate and receive commissions depends on strict adherence to this Agreement.
You agree to:
- Provide requested information to verify compliance
- Follow all applicable policies and requirements
If you violate this Agreement or any related agreement with 5MinuteQuote, we may withhold or permanently forfeit commissions otherwise payable, even if those earnings are unrelated to the violation, and without prior notice. This does not limit any additional legal remedies available to us.
3. Customer Relationship
Customers who purchase through Special Links remain customers of 5MinuteQuote, not yours.
All aspects of the customer experience—including pricing, fulfillment, service, and policies—are controlled exclusively by 5MinuteQuote and may change at any time.
You agree not to:
- Interact with customers regarding transactions
- Provide support on behalf of 5MinuteQuote
If contacted, you must direct customers to the appropriate 5MinuteQuote support channels.
4. Representations and Warranties
You represent and warrant that:
- Your participation and Site operations comply with all applicable laws and regulations
- You have legal capacity to enter into this Agreement
- You independently evaluated participation and are not relying on external promises
- You are not subject to applicable sanctions restrictions
- You will comply with export control laws
- All information you provide is accurate and current
We make no guarantees regarding traffic, performance, or earnings potential.
5. Disclosure of Affiliate Relationship
You must clearly disclose your participation by including a statement such as:
“As a 5MinuteQuote Associate, I earn from qualifying purchases.”
You may not:
- Misrepresent your relationship with 5MinuteQuote
- Suggest endorsement, sponsorship, or partnership unless explicitly authorized
- Publicly discuss this Agreement without prior written approval, except as required by law
6. Term and Termination
This Agreement becomes effective upon your registration or use of the Associates Site.
Either party may terminate the Agreement at any time with written notice, effective 7 days after delivery.
We may suspend or terminate immediately if:
- You materially breach the Agreement
- You fail to remedy a breach within a specified period
- Your actions expose us to risk, liability, or reputational harm
- Fraudulent, deceptive, or unlawful conduct is suspected
- Legal or tax concerns arise
- You were previously removed from the program
- The program is discontinued
We may delay payment of accrued commissions after termination to account for returns or adjustments.
Certain provisions will survive termination, including those related to liability, indemnification, and confidentiality.
7. Disclaimers
All services, tools, content, and technology provided in connection with the Associates Program (“Service Offerings”) are supplied “as is” and “as available.”
To the fullest extent permitted by law:
- No warranties are provided, express or implied
- We do not guarantee uninterrupted or error-free operation
- We are not responsible for data loss, interruptions, or unauthorized access
We may modify or discontinue any aspect of the program at any time.
8. Limitation of Liability
To the extent permitted by law:
- We are not liable for indirect, incidental, or consequential damages
- Our total liability is limited to the commissions paid or payable to you in the preceding 12 months
You waive equitable remedies such as injunctions where legally permissible.
9. Indemnification
You agree to defend and indemnify 5MinuteQuote and its affiliates against any claims, damages, or expenses arising from:
- Your Site or its content
- Your marketing or promotional activities
- Your use of program tools
- Violations of this Agreement or applicable laws
- Tax obligations
- Negligence or misconduct
We may take legal action on your behalf where necessary to enforce this provision.
10. Governing Law
Disputes related to this Agreement or the Associates Program will be governed by the laws specified for the applicable 5MinuteQuote Site in Schedule 2.
11. Taxes
You are solely responsible for all taxes related to your participation, as outlined in Schedule 3.
12. General Provisions
We may:
- Communicate with you via email or other channels
- Monitor your Site for compliance
- Use examples of your implementation for educational purposes
You acknowledge that:
- We may compete with you or operate similar platforms
- Failure to enforce any provision does not waive our rights
- All decisions under this Agreement are at our discretion
This Agreement:
- Cannot be assigned without our consent
- Represents the entire agreement between the parties
- Incorporates all Program Policies
Confidential information must be protected and used only as necessary under this Agreement, with obligations continuing for five years after termination.
The parties are independent contractors, and no partnership or agency relationship is created.
13. Changes to This Agreement
We may update this Agreement at any time by posting revisions or notifying you directly.
Changes take effect on the stated date (generally at least two business days after notice).
Continued participation after changes become effective constitutes acceptance. If you do not agree, your sole option is to terminate participation.
